1. Acceptance of Terms
By accessing or using SpeedLegal's website, applications, and services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you (“User” or “you”) and SpeedLegal, Inc. (“SpeedLegal,” “we,” “us,” or “our”), a Delaware corporation.
2. Description of Service
SpeedLegal provides an AI-powered contract analysis platform that enables users to upload, review, and analyze legal contracts (“Contracts”). Our Service includes risk scoring, clause extraction, contract summaries, and automated recommendations. SpeedLegal is an Alternative Legal Service Provider (ALSP) and does not provide legal advice. The Service is intended to supplement, not replace, professional legal counsel.
3. Account Registration
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
4. Acceptable Use
You agree not to use the Service to:
- Upload content that infringes on third-party intellectual property rights
- Transmit malicious code, viruses, or any harmful software
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use the Service for any unlawful purpose or in violation of applicable laws
- Reverse engineer, decompile, or disassemble any part of the Service
- Scrape, crawl, or use automated means to access the Service without authorization
5. Intellectual Property
The Service and its original content, features, and functionality are owned by SpeedLegal, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain all rights to the Contracts and content you upload to the Service. By uploading content, you grant SpeedLegal a limited, non-exclusive license to process your Contracts solely for the purpose of providing the Service to you.
6. Payment and Billing
Certain features of the Service require payment of fees. All fees are stated in U.S. dollars unless otherwise indicated. You agree to pay all applicable fees as described on our pricing page. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law. We reserve the right to change our pricing with 30 days' prior notice. On-demand pricing is calculated based on the document length and complexity at the time of upload.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPEEDLEGAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. SPEEDLEGAL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SPEEDLEGAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY ANALYSIS OR RECOMMENDATION PROVIDED BY THE SERVICE CONSTITUTES LEGAL ADVICE.
9. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may also terminate your account at any time by contacting us. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
11. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.
